I refer to the text notification circulated earlier today and provide the following information regarding the restructure of PHC below. I confirm that Simon Plant and I were appointed as Joint Administrators of PHC on 15 January 2014.


PHC was placed into Administration by its Director who had requested the assistance of the Joint Administrators with a view to restructuring the business.


You do not need to take any further action at this stage and the following details are provided for your information only.


Objective of Administration


Following the Joint Administrators assessment and after extensive negotiations to effect a sale of PHC’s business and assets, I am now in a position to confirm that a sale to Independent Care Assistants Limited (“ICA”) completed on 17 January 2014.


The purpose of this message is to inform you that pursuant to the provisions of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (“TUPE”), your Contract of Employment has transferred to ICA. Accordingly, ICA will be responsible for the liabilities of your Contract of Employment (including those arising prior to PHC’s Administration with the exception of any criminal liabilities or occupational pension rights). As you have transferred to ICA under TUPE there will be no break in the continuity of your employment. That is to say that the commencement date of your employment with ICA will be deemed as your starting date with PHC.


Your P45 detailing your gross taxable pay and tax deducted in the period of your employment with PHC, prior to the transfer of your employment to ICA on 17 January 2014 for the 2013 / 2014 tax year will be forwarded to your home address as recorded in PHC’s records at the earliest opportunity, subject to satisfactory receipt of PHC’s payroll records. ICA has confirmed it will be processing employment payments in full, which you will receive as normal on 10 February 2014 for the period from 1 January 2014.


Our understanding from the Director (Simon Buxton) of ICA is that there will be no change to the terms of your Contract of Employment.
